FOR FOUNDERS & ENTREPRENEURS
Form your Dutch BV —
in 10 working days.

Engagement & documents
Sign the engagement letter. Provide passport copies, BSN numbers, and intended business activity. Secure document portal access.

06 — A founder's story
A founder's story.
How we helped a SaaS founder restructure from sole proprietorship to a BV + Holding — and save roughly €38,000 in tax in year one.
“Staying as a ZZP, his effective tax rate on the next €100k of profit would be roughly 49%. With the BV + Holding structure, his blended rate dropped meaningfully — and his Holding gave him a clean place to park retained earnings.”
A founder we worked with had been operating as a ZZP for four years. His Amsterdam-based SaaS hit €180k in profit in 2023 and his accountant kept saying "you should think about a BV." Nobody explained what that actually meant.
In our first call, we mapped his situation: solo founder, growing recurring revenue, planning to bring on a CTO with equity in 12–18 months. The answer wasn't just "form a BV" — it was "form a BV + Holding now, before equity gets complicated."
Total saving in year one: approximately €38,000 versus continuing as ZZP. Setup cost: €4,500 plus the notary's fee. Payback: less than one month of operations. He has been with us for monthly bookkeeping, quarterly reviews, and annual strategic planning ever since.
07 — Common questions
Frequently asked.
Do I need to be in the Netherlands to form a BV?
You need to be physically present for the notary appointment (this is required by Dutch law for identity verification) and again briefly for the bank's identity check. Beyond those two appointments — typically a single day if scheduled well — everything else is handled remotely. We've formed BVs for founders flying in from London, Lisbon, Kyiv, and beyond.
How long does BV formation actually take?
From your strategy call to operational status, the realistic window is 5–10 working days. The notary appointment is usually scheduled within 2–3 days. KvK and BTW registration are automatic the same day as the notary deed. Bank account opening is the variable — typically 2–4 days with the major Dutch banks, sometimes faster with Bunq.
How much does a BV really cost, all-in?
Our fee is €2,500 for a single BV or €4,500 for a BV + Holding. On top of that, the civil-law notary charges their own fee, typically €500–€900 depending on the structure. There's no minimum capital requirement (the old €18,000 rule was abolished in 2012). So all-in, plan for €3,000–€5,400 for the setup. Monthly bookkeeping is separate, starting from €100/month.
Should I form a single BV or a BV + Holding?
For founders building anything meaningful — recurring revenue, eventual employees, possible investors, or any intent to sell the business one day — the BV + Holding structure is almost always the right answer. Your shares sit in the Holding, which means: cleaner dividends to yourself (Box 2 efficiency), liability separation between you and the operating business, asset protection, and a much cleaner cap table when an investor or buyer eventually shows up. The €2,000 difference at setup typically saves multiples of that within the first year of operation.
Can you transition me from ZZP to BV?
Yes — this is one of our most common engagements. We handle the timing (when does it make tax sense to switch), the asset transfer (your laptop, brand, contracts), and the closing of the ZZP registration in parallel with opening the BV. Done well, the transition is invisible to your customers — they get new invoices from the BV and nothing else changes.
What about minimum DGA salary?
As director-shareholder of your own BV, you must pay yourself a "customary" salary — the Belastingdienst publishes a guideline minimum each year (around €56,000 at time of writing). Whether you should pay more depends on your tax position, dividend strategy, and pension planning. We calculate this for you as part of every BV setup and revisit it annually.
Do you handle the notary, or do I find one?
We coordinate the notary appointment for you — we work regularly with several Dutch civil-law notaries who handle BV formations efficiently and at fair rates. If you have a preferred notary, we're happy to work with them.
What languages do you work in?
English, Dutch, and Ukrainian — across all engagement letters, articles of association drafts, internal communication, and filings. The notarial deed itself must be in Dutch by law, but you'll have an English (or Ukrainian) sworn translation alongside it.
What happens after the BV is operational?
Most founders move into our monthly subscription — bookkeeping, VAT returns, payroll, corporate tax filing, and an annual strategic review. Pricing starts at €100/month for a quiet single-shareholder BV and scales with employees and complexity. We'll discuss the right tier on your strategy call.
Can you help if I already have a BV with another accountant?
Yes — switching accountants in the Netherlands is straightforward. We coordinate the handover, including transferring your bookkeeping data from their system to Exact Online and ensuring continuity of filings. Most switches happen in 2–3 weeks with zero gap in compliance.
